These terms and conditions apply as of 01 May 2009
These Terms and Conditions form the contract between you as a SovLink user and
AIA Services New Zealand Limited("AIA") as provider of these services.
AIA will provide you, and any other person nominated by you, access to SovLink.
By registering for and using SovLink you unconditionally acknowledge and accept these
Terms and Conditions.
To use SovLink, you must have a current Financial Adviser Agreement with AIA, or be a representative or nominee of an entity that does.
You and your nominee are only permitted to access and use SovLink for the operation
of your business. Access to SovLink by your nominee will only be available where
we have approved an application from you for that person.
You must supervise and control the use of SovLink to ensure compliance with these
terms by your nominee. You agree to indemnify AIA for any loss suffered
as a result of use of SovLink by your nominee.
User Requirements
You and your nominee must use a browser capable of supporting 128-bit encryption.
You are responsible for computer anti-virus measures and security precautions to
prevent unauthorised use of and access to SovLink services and to protect all
confidential and personal information you or your nominee may access while using SovLink.
SovLink Username
If you or your nominee are required to select a Username to access SovLink, that
Username must be at least four (4) characters and must begin with letters and not
contain any special characters or spaces. The Username must be unique to SovLink.
If a Username is chosen that is already in use, an alternative Username will need to be chosen.
SovLink Password
If either you or your nominee is required to select a Password, the Password must
be eight (8) characters long and contain at least one (1) letter and one (1) number.
The Password selected must not include:
- birth dates
- sequential numbers (e.g. 3456)
- number combinations that may be easily guessed (e.g. 1111)
- parts of your telephone number or other easily accessible personal
or business data including drivers licence, locker number, family,
pet and street names; or other numbers easily connected with you or your nominee.
You and your nominee should use a different password for SovLink than used for other systems.
Keep Your Username & Password Safe
You and your nominee must safeguard the Usernames and Passwords which must be committed to memory.
Neither You nor your nominee must, under any circumstances, keep a written or electronic record
of your Passwords either together with your Usernames or alone. You and your nominee must take
care to ensure no-one can see the entry of a Password and you must report the disclosure or
possible disclosure of your or your nominees Password to AIA as soon as you or your
nominee are aware or suspect that either your or your nominees Password has been disclosed.
Please note that Microsoft Internet Explorer 5.0 ("IE 5.0") (and versions above) have an
option which allows user names and passwords to be automatically entered by keying in just
the first character. We urge you to disable this functionality.
The Usernames together with Passwords will enable you and your nominee to use SovLink.
The Usernames and Passwords are personal to you and you nominee. You and your nominee must
not disclose the Usernames and Passwords to any other person, including any other person
within your business who otherwise would not have access to SovLink. Any unauthorised
disclosure of the information on SovLink may result in action being taken against you
either directly by AIA or by a third party. You indemnity AIA for any loss
it may suffer as a result of any such unauthorised access to SovLink by you or your nominee.
Use
You will not use or permit the use of SovLink in whole or in part for any purpose,
whether legal or illegal, other than as specifically intended to carry out legitimate
tasks relevant to your business with AIA.
Your use of SovLink is at your own risk. You agree that we are not responsible for
any damage or harm arising out of your or your nominee’s use of SovLink. You also
agree that all warranties, conditions and representations in respect of SovLink
(express or implied) including availability and functionality of the service are
excluded to the fullest extent permitted by law. We exclude all liability to you
for any direct, incidental, consequential, indirect or punitive damages arising
out of your access to, or use of or inability to use SovLink.
Accuracy of Information
Due to varying internal systems update times, certain customer information on SovLink
may not reflect the latest information. You should check any relevant effective date
noted on the page from which you obtain information. If you wish to make any business
decision that requires the latest customer or policy information you should contact
AIA to confirm that information. SovLink is provided as a guide only for the
purpose of assisting you with your adviser business.
Copyright
All text, images, logos, brands, structure and design of the SovLink site are the
property of AIA, who holds copyright in them. Copying or reproduction in any
form of the information contained in this site is expressly prohibited without the
written consent of AIA.
Privacy & Security
All Information on the SovLink site is provided to you for the purpose of assisting
in the efficient processing and administration of your business with AIA.
You must not disclose any personal information or use that information other than
for purposes expressly authorised by your client.
Links to other websites
SovLink may contain hyperlinks to websites operated by parties other than AIA.
AIA does not monitor or investigate such sites and accepts no responsibility
or liability in relation to any content on any other websites. Use of hyperlinks
to any other website is at your own risk.
Hypertext linking
Under no circumstances are you or your nominee to create a hyperlink to any of the
pages on SovLink. If you create a link to any pages of SovLink you acknowledge
that you are responsible for all direct or indirect consequences of the link,
and you indemnify AIA for all loss, damage, liability, costs or expense
arising from or in connection with the link.
Software Upgrades
SovLink provides you and your nominee with the opportunity to download and install
upgrades to various types of Software via SovLink. The software may include software
provided directly by AIA or via our third party suppliers. We refer you to the
Terms and Conditions of the applicable end-user license agreements that you may have
in place with the relevant software supplier. While we will take every reasonable
measure to ensure that software provided in SovLink is virus-free, you are responsible
for ensuring that software downloaded from SovLink is virus free prior to using it.
AIA accepts no responsibility for the performance or non-performance of any third
party software you download from SovLink or any loss you suffer directly or indirectly
as a result of downloading or using that software. Please follow the instructions
provided with the upgrade.
Changes to these Conditions
AIA reserves the right to change these Terms and Conditions at any time on giving
you 14 days notice. We may give you notice either by mail to your last notified address,
or to your e-mail address, or when you next access SovLink.
Withdrawal of SovLink
You may request that we withdraw your or your nominees access to SovLink in writing
(including by fax or email) and you will remain responsible for any access to SovLink
via your or that of your nominees Username and Password until the time of cancellation.
We may withdraw your or your nominees SovLink without notice if you or your nominee has
breached these terms and conditions (or we have reason to suspect you or your nominee
has done so). AIA reserves the right to withdraw the SovLink service entirely
at any time by giving you 14 days notice.
Governing Law
These Terms and Conditions shall be governed and construed in accordance with New Zealand
law and you submit to the jurisdiction of the Courts of New Zealand for all purposes
in connection with the installation, operation and use of AIA's SovLink Internet services.
Customer Acknowledgement and Indemnity
You agree to follow the instructions supplied to you in relation to the use of SovLink or
any part, to be used for any illegal or improper purpose. You acknowledge that any
unauthorised reproduction or disclosure of any proprietary, confidential or personal
information contained in SovLink, or any portion of it may result in legal action
being taken. You agree to indemnify AIA and hold us harmless for any loss
incurred or damage suffered by us, our customers or a third party or for any claim
or action which may be brought against us by a customer or third party, which is in
anyway the result of your or your nominees use of SovLink or your, or your nominees,
failure to take all reasonable steps to prevent unauthorised use of SovLink.
Miscellaneous Provisions
AIA and its employees or agents shall not be liable for any act or failure
to fulfill its obligations in relation to provision of the SovLink service if the act,
omission or failure arises from any cause reasonably beyond its control. These events
may include (but shall not be limited to) acts of God, strikes, lockouts, riots, acts
of war, epidemics, earthquakes, floods, governmental action, fire, communication line
failures, power failures, computer or processing system failure.
